Strategic Session Terms & Conditions

By purchasing and booking a “Marketing Strategy Session” or “Strategic Scoping Workshop” (the “Session”), you (the “Client”) agree to be bound by the following Terms & Conditions with Media-Ecology, LLC (the “Consultant”).

This agreement is effective upon your successful booking and payment for the Session.

1. Purpose & Scope of Session

This agreement covers the paid Session only. The Session is a high-level, strategic consultation. Its purpose is to evaluate the Client’s needs and to provide a professional, high-level roadmap and analysis.

This Session does not, by itself, represent a commitment from either party to engage in a larger project. Any future, full-scale project will be governed by a separate, comprehensive Master Services Agreement (MSA), which will include a detailed project scope, payment schedule, and full Non-Disclosure Agreement.

2. Mutual Confidentiality (Session NDA)

Both Client and Consultant will act as a “Receiving Party” for information disclosed by the other.

(a) “Confidential Information” includes all non-public information, trade secrets, business plans, intellectual property, financial data, and any proprietary ideas, strategies, or concepts discussed during the Session.

(b) The Receiving Party agrees to:

(i) Use the Confidential Information solely for the purpose of evaluating a potential business relationship.

(ii) Not disclose the Confidential Information to any third party.

(iii) Protect the Confidential Information with the same degree of care it uses for its own sensitive information.

3. Non-Circumvention & Non-Solicitation

This clause is essential to protect the Consultant’s business and vendor network.

(a) “Protected Relationships” refers to any employee, subcontractor, vendor, or creative partner of the Consultant that the Client is introduced to or becomes aware of as a result of the Session.

(b) Non-Circumvention: Client agrees not to bypass, “go around,” or otherwise circumvent the Consultant to engage in a direct business relationship with any Protected Relationship to perform services that are the same as or similar to the services offered by the Consultant.

(c) Non-Solicitation: Client agrees not to solicit, hire, or employ any Protected Relationship for a period of one (1) year following the Session.

4. Session Fee & Credit

The fee paid for this Session ($250 or $750) is non-refundable.

If the Client and Consultant mutually agree to engage in a full project (governed by a new Master Services Agreement) within sixty (60) days of the Session, the full Session fee will be applied as a 100% credit to the first invoice of that new project.

5. No Guarantee of Results or Future Work

The Consultant will provide professional, expert-level strategic advice during the Session. However, this Session does not include the creation of final deliverables and does not guarantee any specific business outcome.
